Standard terms and conditions applicable to all PowerAgro orders.

1. Financial Terms (Pricing, Payment & Taxes)
Quotation & Proforma Validity: All quotations and proforma invoices are non-binding and valid for 5 days from the date of issue unless otherwise stated in writing.
Prices, specifications, availability, and delivery schedules after expiry are subject to change without notice.
Any order placed or payment made after the validity period shall be subject to reconfirmation by PowerAgro Industries.
Pricing & Taxes
Pricing Basis: All quoted prices are Ex-Works (EXW) from our manufacturing facility at
135, Mubarikpur, Behind Reliance Petrol Pump, Near Gud Mandi,
Khatauli, Uttar Pradesh - 251201
Price Variation: Prices are based on prevailing costs of raw materials, components, power, and labour. PowerAgro Industries reserves the right to revise prices prior to invoicing due to market fluctuations or statutory changes.
Taxes: GST @18% is applicable (GST No: 09BQIPA0903M1ZY) unless otherwise prescribed by law. Any change in duties, levies, or taxes between quotation and delivery shall be borne by the Purchaser.
Payment Structure
- Advance: 50% non-refundable advance required at order confirmation.
- Balance: Remaining payment must be cleared against Proforma Invoice prior to dispatch.
- Dispatch: Goods shall be dispatched only after full payment realization.
- Accepted Modes: DD, At Par Cheque, NEFT/RTGS/IMPS in favor of PowerAgro Industries.
- Delay Interest: Delayed payments shall attract interest @18% per annum from due date until realization.
2. Logistics, Delivery & Risk
Delivery Terms
- Timeline: Standard delivery timeline is 6–7 weeks from order confirmation and receipt of advance. Timeline may vary depending on customization or component availability.
- Force Majeure: Delays due to events beyond reasonable control (raw material shortages, transport disruption, labour issues, natural calamities, government restrictions etc.) shall not constitute breach.
- Cancellation: Confirmed orders cannot be modified or cancelled under any circumstances.
- No Liquidated Damages: No penalties or delay damages apply unless agreed in writing.
Dispatch, Risk & Insurance
- Logistics: Purchaser is responsible for arranging and bearing freight costs unless otherwise agreed.
- Risk Transfer: Risk transfers to Purchaser immediately upon dispatch from our facility.
- Insurance: Transit insurance must be arranged by Purchaser. PowerAgro Industries shall not be liable for transit-related damage or loss.
- Storage Charges: If dispatch is delayed due to Purchaser reasons beyond 7 days of readiness, storage charges may be levied.
3. Inspection, Installation & Commissioning
Inspection: Purchaser must inspect goods within 15 days of readiness notification. Failure to inspect shall be deemed unconditional acceptance in “as-is” condition.
Inspection limited to visual checks only. Functional testing at manufacturer’s discretion.
Erection & Commissioning (If Applicable)
Installation supervision shall be provided by technicians of PowerAgro Industries if included in scope.
- Lodging & boarding
- Local transport
- Required tools & labour
- Proper tractor HP & PTO compatibility
- Travel expenses at actuals
- ₹1,500 per day for delay beyond agreed schedule
4. Warranty Policy
Coverage
Warranty shall apply only to products expressly specified as “Under Warranty” in the Order Confirmation or Invoice.
Where applicable, the warranty period shall be as mentioned in the respective Order Confirmation or Proforma Invoice. In absence of such mention, no warranty shall be deemed applicable.
- Manufacturing defects in materials
- Design defects attributable to manufacturer
Remedy limited to repair or replacement only. Labour, freight, downtime, and travel excluded.
Exclusions
- Normal wear & tear
- Improper handling, misuse, overloading
- Incompatible tractor HP/PTO use
- Unauthorized modification or repair
- Consequential losses including crop loss or lost profits
No Return / No Refund: Goods once dispatched shall not be eligible for return, exchange, or refund.
5. Legal & General
Jurisdiction
All disputes subject to exclusive jurisdiction of courts at Muzaffarnagar, Uttar Pradesh.
Retention of Title
Ownership remains with PowerAgro Industries until full payment is received.
Limitation of Liability
Total liability shall not exceed the value of the specific order. PowerAgro Industries shall not be liable for indirect, incidental, or consequential losses.
Placement of order constitutes full and unconditional acceptance of these Terms & Conditions.
